Arc @ UNSW (“Arc”) has created Be A Better Human resources to promote community respect, understanding, tolerance and education about social responsibility, equity, diversity, and gendered violence. Arc acknowledges the work of Flinders University Student Association in launching the inaugural Be A Better Human campaign in response to growing culture of gendered misconduct.
This agreement governs Your use of those resources (the “Licensed Materials”). By using the Licensed Materials on the Be A Better Human website, You agree that you understand, and accept all Terms & Conditions listed here.
1. Arc grants a royalty-free, worldwide, non-exclusive, non-transferrable licence upon the terms and conditions set forth in this agreement, to any audience to reproduce and publicly share the Licensed Materials, in whole or in part, for Non-Commercial purposes only.
For clarity: “Licenced Material/s” means the resources and contents of Be A Better Human website, including but not limited to fact sheets, checklists, social media posts, still image, or film or video footage. Any reference in this Agreement to the Licensed Material shall be to each individual item within the Licensed Material and the Licensed Materials taken as a whole.
2. You agree that the Licensed Materials are the intellectual property of Arc. You must not falsely represent or imply that the Licensed Materials were created, or are owned by, You or any other person.
3. Any public use of the Licenced Materials (including any modified versions) shall properly acknowledge Arc as the creator of the Licensed Materials. This condition will be satisfied where Arc is named, credited, tagged or otherwise displayed in close proximity to the reproduced License Materials.
4. You must not remove any notice of copyright, watermark, trademark or other intellectual property right, or other information that may appear on, embedded in, or in connection with the Licensed Materials as downloaded.
5. Arc@UNSW may request the removal of Licensed Materials from any platform, or revoke this License, where, in its reasonable opinion, appropriate appropriation has not been given by You.
6. The Licensed Materials may be used for the purposes of information, education or other non-commercial use in keeping with the spirit and intent of Arc’s Be A Better Human campaign. You agree the Licensed Materials will not be used in a way that discredits, harms or creates an environment contrary to this purpose. Specifically, You agree the Licensed Materials will not be used:
7. In any way that may adversely affect the reputation of Arc, and/or the goodwill associated with the Licensed Materials and BABH campaign.
i) In a manner or context which is, or could be reasonably taken to be, derogatory, defamatory, misleading, deceptive or otherwise unlawful in any way.
ii) For purposes of satire or critique.
iii) As the basis for a logo, trademark or service mark.
iv) In any other use which could be construed as detrimental, damaging or inconsistent with the rights of Arc as content creator.
8. Arc disclaims any and all liability for any direct, indirect, implied, incidental or other consequential damage or loss arising from Your use (or misuse) of, or reliance on, the Licensed Materials, incurred by You or any other person; and You agree to release Arc, its agents and employees, from any and all liability, claims and demands which may arise in connection with Your use.
9. You agree to defend, indemnify and keep indemnified Arc, its agents and employees from any and all liabilities incurred in respect of any claim or cause of action (including negligence), including legal fees and expenses of litigation, on account of any loss or damage caused or contributed to, by Your use of the Licensed Materials.
10. You are responsible for making your own assessment of the Licensed Materials, and use the Licensed Materials at Your own risk. The Licensed Materials are offered as-is and as-available. Arc makes no representations or warranties of any kind concerning the Licensed Materials, whether express or implied, including, without limitation, warranties of title, fitness for a particular purpose, quality, completeness, currency or accuracy.
11. Nothing in these Terms & Conditions creates an endorsement by, or relationship with, Arc, and Your use of the Licensed Materials should not imply a connection to Arc, nor that You act on behalf of Arc, or, in any way represent its views.
12. This Agreement will be governed by and construed in accordance with the laws of New South Wales and the parties submit to the exclusive jurisdiction of the courts of New South Wales.
